Job Summary

Agencyport Software is looking for an exceptional General Counsel to join the executive team and report to the Chief Financial / Chief Operating Officer. This is a unique opportunity to bring your legal leadership to a dynamic, rapidly growing company as its first in-house counsel. The right person for this position must have high standards of personal excellence, integrity, a high energy level and an ability to thrive in a fast-moving environment with frequently shifting priorities.

Responsibilities

  • Counsel executive team and management on a broad range of complex legal, business and strategic issues
  • Provide day-to-day general legal counsel on contract formation, negotiation, intellectual property, data protection, risk management, employment, human resources, corporate governance issues and mergers and acquisition matters
  • Support corporate product and business development initiatives, including but not limited to, providing legal advice and expertise for commercial law, technology issues, development, strategic partnerships, licensing and distribution
  • Develop, review, and negotiate software, services and other technology contracts
  • Possess strong business acumen and have the ability to translate difficult legal principles into practical and effective business solutions
  • Execute special projects as requested by the Executive Committee
  • Oversee and manage retained outside counsel

Skills & Experience

  • At least 10 years' experience, ideally in both a pre-public and public company setting
  • At least 5 years working in the software industry, Insurance industry experience a plus
  • Accredited law degree and membership in at least one state bar is required
  • High integrity and ethical standards
  • Experience in a national or international law firm, operating within the United Kingdom a plus
  • Prior General or Associate General Counsel experience a plus
  • Experience with private equity owned companies and the IPO process a plus
  • Excellent oral and written communication skills
  • Strong internal and external negotiation skills

Job Summary

Agencyport Software is looking for skilled senior software engineers to lead project teams in designing, configuring, and extending our web-based products for our customers. Engineers will work on Java-based solutions using XML, servlet, and JSP technologies running in a JEE application server. Agencyport Software development is a collaborative environment. Duties and Responsibilities

  • Design, code, test, and deploy JEE based solutions into industry-leading container/application server environments. After quickly proving your abilities as an engineer, you will lead others in these activities.
  • Work directly with customers to analyze requests and constructively provide feedback that meets the requirement while leveraging our core products as much as possible.

  • Java 5, Servlets, JSP, XML, javascript, and HTML
  • Relational databases $mdash; preferably Oracle, SQL Server, and DB2
  • Application servers and servlet containers $mdash; preferably Tomcat, JRun, WebSphere, WebLogic, and JBoss

Practical experience in the following areas

  • Leading discussions and teams in designing, developing, and deploying new web applications
  • Unit testing concepts and all phases of the software development life cycle
  • Optimizing and performance tuning web applications

Demonstrated abilities

  • Working comfortably with all levels of an organization, including external customers

  • Acting as mentor to more junior team members by leading code reviews and design sessions

Builds long term, strategic relationships with named and vertical business alliance partners.

Detailed Description

Facilitate the development of strategic marketing and new business plans for all assigned partners to meet or exceed assigned business goals. Work with Partners to identify opportunities and create demand through lead generation activities and target account selling strategies. Actively track joint sales pipeline and meet or exceed quarterly and annual revenue targets. Develop and maintain relationships with global counterparts to leverage corporate initiatives and to ensure adherence to Alliances and Channel standards. Monitor partners business results, making recommendations for improvements to increase penetration for the strategic partners. Establish rules of engagement and operational escalation procedures to quickly identify and resolve issues. Establish and maintain partner education materials, and work closely with other internal departments to ensure successful partner qualification, onboarding, training, support and relationship management.

Job Requirements

Demonstrated track record developing and managing Strategic Partnerships (preferably at a global level) and driving Partner account activity. Prefer strong analytical, sales channel and marketing skills. Prefer 5 years of related experience. Secondary education in Marketing or a related field preferred. Graduate degree a plus.

Primary job duty is to sell business applications software/solutions and related services to prospective and existing customers. Participate in the development, presentation and sales of a value proposition. Negotiate pricing and contractual agreement to close the sale. Develop and manage reference sites through high quality technical, professional client relationships.

Job Requirements

Job duties are varied and complex, needing independent judgment. May have project lead role. 5 years relevant computer applications or database/tools. Demonstrated proficiency in one multi-user operating system. Through knowledge of system and application design. Strong verbal and written communications skills; needs analysis, positioning, business justification, closing techniques. Demonstrated ability to solve complex technical problems with accounts in complex technical environments. Ability to travel as needed. BS degree or equivalent; advanced degree is desirable.
